Sales are open to both individuals (consumers) and professional buyers. Certain terms apply differently depending on your status: they are marked with the words "Consumer" and "Professional." Any order implies full and unconditional acceptance of these terms and conditions.
Seller's Identity
The Wholesaler 2.0 website and brand are published and managed by:
- FELIX BEAUREGARD CORP, a simplified joint-stock company with a single shareholder (SASU) with a share capital of €100.

Hereinafter referred to as "the Seller."
Article 2 — Purpose and Scope of Application- These General Terms and Conditions of Sale (the "GTC") govern all sales of products offered by the Seller on the Wholesaler 2.0 website (the "Site"), whether to consumers or to professional buyers.
- Any order constitutes the buyer’s (the “Buyer”) full, complete, and unconditional acceptance of these Terms and Conditions, which take precedence over any other document.
- The Seller reserves the right to modify the Terms and Conditions at any time. The applicable Terms and Conditions are those in effect on the date the order is confirmed.
Buyer Status
The products are sold to two categories of buyers, whose rights differ in certain respects that are expressly stated:
- Consumer: Any natural person acting for purposes unrelated to their commercial, industrial, craft, or professional activities. Consumers are entitled to all public policy protections provided for in the Consumer Code, in particular the right of withdrawal and statutory warranties.
- Professional: Any natural or legal person acting for purposes related to their business activities, including for the purpose of resale. Professionals are not entitled to the right of withdrawal or the protections afforded to consumers.
- The Buyer shall indicate their status at the time of ordering. The Seller may request supporting documentation (SIREN/SIRET number, VAT number) from the Buyer who declares that they are acting in a professional capacity.
Products and Prices
- Products sold under the Wholesaler 2.0 brand are assorted lots of items (specifically lots of T-shirts, shorts, and any other branded styles), whose exact composition, brands, styles, sizes, colors, and condition may vary from one lot to another.
- The “mysterious” or “surprise” nature of the lots is an essential feature of the product, which is clearly stated and accepted by the Buyer, who acknowledges that they are knowingly purchasing a product whose exact contents are not determined in advance.
- Unless otherwise specified on the product page, items are sold "as is." The Seller does not guarantee a specific size distribution, a specific percentage of brands, or that the items are new.
- The images and descriptions on the Website are provided for illustrative purposes only and do not constitute a contractual representation of the exact contents of the delivered lot, without prejudice to the consumer’s statutory warranty of conformity.
- Prices are listed in euros, including taxes (including VAT), for consumers, and may be displayed excluding taxes (excluding VAT) for business customers, excluding shipping costs, which are billed separately and indicated before the order is confirmed.
- The Seller reserves the right to change its prices at any time. Products are billed based on the rates in effect at the time the order is confirmed.
Order and Payment
- The sale is considered final only after the Seller has confirmed the order and the full purchase price has been received.
- The Seller reserves the right to refuse or cancel any order in the event of a prior dispute, nonpayment, an order that deviates from usual quantities, or product unavailability.
- The information provided by the Buyer at the time of ordering is binding. The Seller shall not be held liable for the consequences of any incorrect information (delivery address, contact information) attributable to the Buyer.
- The price is payable in a single payment, in full, on the day the order is placed, using the payment methods offered on the Website. No product will be shipped until full payment has been received.
- Professional Customers: In accordance with Article L441-10 of the French Commercial Code, any delay in payment by a professional customer automatically triggers, without the need for a formal notice of default, the application of late-payment interest at the ECB reference rate plus 10 percentage points, in addition to a flat-rate compensation of €40 for debt collection expenses.
Delivery and Transfer of Risk
- Orders are shipped from the Seller’s warehouse in France. Delivery times are provided at the time of order; if no delivery time is specified, and in accordance with Article L216-1 of the French Consumer Code, delivery will take place no later than 30 days after the order is placed.
- Consumer: The transfer of risk for products occurs upon physical delivery of the goods to the consumer, in accordance with Article L216-4 of the French Consumer Code.
- Businesses: The transfer of risk occurs upon delivery of the goods to the carrier. It is the business’s responsibility to inspect the packages upon delivery and to file any objections with the carrier in accordance with Article L133-3 of the French Commercial Code.
- Any package received open, damaged, or incomplete must be reported to the Seller, with supporting photos, as soon as possible at drop@resellervinted.com, to allow for prompt resolution of the issue.
Right of Withdrawal
Consumer: In accordance with Articles L221-18 et seq. of the French Consumer Code, the consumer has 14 calendar days from the date of receipt of the order to exercise the right of withdrawal, without having to provide any reason.
- Notice: The decision was sent to drop@resellervinted.com before the deadline, by means of an explicit statement.
- Returns: Items must be received by the Seller no later than 14 days after notification, at the following address: 4120 Route de Tournai, 59500 Douai.
- Return shipping costs: to be paid by the consumer.
- Item Status: Returns will only be accepted if the entire order is returned in a condition that allows for resale. The consumer may inspect the items as they would in a store; any handling beyond this basic inspection makes the consumer liable.
- Depreciation: Any item that is missing, worn, washed, damaged, stained, or missing a tag will result in a reduction in the refund equal to the amount of depreciation observed, which may result in no refund at all if the item’s condition no longer allows for resale.
- Refund: The amount due, including standard shipping costs, will be refunded within 14 days of cancellation, using the same payment method used for the original transaction. The refund may be delayed until the items are received or proof of shipment is provided, and will take into account any depreciation.
- Professional Buyers Professional buyers do not have the right of withdrawal. Sales concluded with a professional buyer are final and binding; no returns, exchanges, or refunds will be accepted for reasons related to the “mysterious” composition of the lot described in Article 4.
Claims and Warranties
- Any complaint regarding an obvious nonconformity of the lot (brand, quantity, advertised distribution) must be submitted in writing to the Seller, along with supporting photos, to drop@resellervinted.com, as soon as possible after receipt. A response will be provided within 24 business hours.
- Variations in the contents, brands, sizes, models, or condition of the items do not constitute nonconformity, as these characteristics stem from the very nature of the product (Article 4).
- Consumer: The commercial complaint procedures set forth above apply without prejudice to the statutory warranties, which remain available to the consumer in accordance with the law.
- Consumer: The consumer is covered by the statutory warranty of conformity (Articles L217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (Articles 1641 et seq. of the French Civil Code), regardless of any commercial warranty.
- For Professionals: Since the products are sold "as is," the Seller disclaims any commercial warranty and limits its liability for latent defects to the price paid for the lot in question.
- The Seller does not guarantee any resale value, profit margin, or commercial outcome. Any Buyer who purchases a lot for resale purposes acknowledges that they assume the sole commercial risk associated with such purchase.
Liability and Trademarks
- To the extent permitted by law, and without prejudice to the consumer’s rights under public policy, the Seller’s liability is limited to the amount actually paid by the Buyer for the order that gave rise to the dispute.
- Professional Customer: With respect to a professional customer, the Seller shall not be held liable for indirect damages (loss of business, revenue, profit margin, customers, or commercial harm).
- No limitations apply in cases of gross negligence or willful misconduct on the part of the Seller, or in cases of personal injury.
- Any brand-name items included in the lots come from wholesale and/or secondhand sources.
- It is the responsibility of the Buyer, who resells the products as a professional, to comply with all legal obligations applicable to resale (consumer information, condition of the products, trademark law, taxation). The Buyer assumes full responsibility for such compliance and indemnifies the Seller against any claims by third parties in this regard.
Ownership and Force Majeure
- The Seller retains ownership of the products sold until full and actual payment of the price, including principal and ancillary charges, in accordance with Articles 2367 et seq. of the French Civil Code.
- The Seller shall not be held liable for any failure to fulfill its obligations in the event of force majeure as defined in Article 1218 of the French Civil Code (including, but not limited to, natural disasters, strikes, supply disruptions, carrier failures, or any event beyond its control).
Mediation, Data, and Legal Notices
- Consumer: In accordance with Articles L612-1 et seq. of the French Consumer Code, if a consumer’s written complaint to the Seller remains unresolved, the consumer may seek the assistance of a consumer mediator free of charge.
- Designated Mediator: [name and contact information of the authorized mediator — mandatory registration required].
- Data collected in connection with orders is processed in accordance with the GDPR (EU Regulation 2016/679) and the French Data Protection Act. The procedures are detailed in the Privacy Policy available on the Website [link].
- These Terms and Conditions are governed by French law.
- Consumer: In the event of a dispute, the consumer may, at his or her discretion, bring the matter before any of the courts with territorial jurisdiction under the French Code of Civil Procedure, including the court in the consumer’s place of residence.
- Professional Buyers Any dispute between the Seller and a professional Buyer shall fall within the exclusive jurisdiction of the courts of the district of the Paris Court of Appeals, even in the event of multiple defendants or third-party claims.
- If any provision of these Terms and Conditions is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect.
